Definitions as they apply to this document

 

We, Us and Our refer to Made in Cheshire, www.madeincheshire.co.uk , correspondence address 26 Pennymoor Drive, Altrincham, WA14 4UT

The Client, You and Your refer to the person, company or personal representative thereof requesting and paying for the services of Made in Cheshire

Service describes any artwork, social media management, social media training, copywriting, design work, web site design, print design, PR or event project provided by Made in Cheshire for the Client.

Web hosting is the provision by Made in Cheshire for the Client of online storage for all files related the Client’s website

Quotation is an electronically transmitted document outlining details of the services offered to the Client by Made in Cheshire together with the costs involved

Invoice is an electronically transmitted document requesting payment for services delivered by Made in Cheshire

Completion is the date Made in Cheshire completes the works agreed

Sign-off is the agreement communicated by the Client to Made in Cheshire that works have been completed to the Client’s satisfaction

 

 Quotations

All prices quoted on our website or in any printed material are subject to change and subject to acceptance by us in discussion with a potential Client with regard to the services best suited to their requirements

Unless otherwise stated on the Quotation or in communication with the Client, quotations are valid for a period of 28 days from the date of issue

 

Acceptance

Acceptance by the Client of these Terms and Conditions is made by confirmation by the Client they wish Made in Cheshire to commence work as outlined in the Quotation.

We will communicate all information to you, unless otherwise agreed, by electronic means of communication.  Confirmation by the Client they wish Made in Cheshire to commence work as outlined in the Quotation further implies acceptance by the Client that these electronic communications are binding and comply with any legal requirement that such communications should be in writing.  This does not affect the Client’s statutory rights.

Acceptance by the Client of a Quotation made by us is confirmed by their communication with Made in Cheshire that they wish us to commence any or all of the work outlined in said Quotation

 

Responsibilities of the Client

It is the responsibility of the Client to furnish us with all content, whether text or images, required to complete the Service(s) agreed upon.

It is the responsibility of the Client to furnish the aforementioned content in the format requested by us.  Unless agree or stated otherwise acceptable formats would be as follows:

Images – PNG, PSD, JPEG, BMP, AI or GIF

Text – DOC(X) or TXT

It is the responsibility of the Client to supply content within the time frame suggested by us.  We may not be made liable for any delay in the progress or completion of the Service, or failure to complete the Service by a previously agreed deadline, if such a delay has been caused by the Client’s failure to deliver requested material.

It is the responsibility of the Client to ensure the quality and suitability of any content to be supplied by the Client.  Made in Cheshire may not be made liable for any works made imperfect by the unsuitability either in content or quality of any materials supplied by the Client.

 

Rights of Made in Cheshire

Made in Cheshire reserve the right to make additional charge for any creation of artwork or graphic content or copywriting required, not included as part of the original quotation, deemed necessary by agreement between us and the Client, at our standard hourly rate.

Made in Cheshire reserve the right to use any materials, including but not limited to web templates, stock images and other graphic materials, we are entitled to use by way of a third party licence, or commons licence in the completion of the Client’s work.

 

Payment terms

Unless agreed otherwise, payment to be made by cash or bank transfer to the account detailed on the quotation.

 

Payment of hosting and social media management fees to be paid by bank transfer monthly on a pre-agreed date in advance of the services provided.  Should payment not be received we reserve the right to suspend hosting of your website until such times as payment is made.  In this case Made in Cheshire will give warning and will not be liable to reimburse the Client for any costs, loss of earnings or any other inconvenience experience as a result of the interruption in service.

 

Should you wish to cancel your hosting agreement with us we will not be liable to offer any reimbursement for any days not used within the billing period.

 

Payment for website design will be due once the work has been completed to the satisfaction of the Client and prior to the site being made live.

 

Payment for design work will become due once draft designs have been approved.  High resolution versions of the images will be transferred electronically on settlement of the invoice.

 

Where work is to be invoiced after completion, if said work is delayed by the client for longer than a 21-day period for reasons other than those agreed by both parties, we reserve the right to raise an interim invoice for works/costs to that point, whether or not the project has been signed off.

 

Invoices are issued electronically and are payable within the time frame indicated on the invoice unless agreed otherwise by Made in Cheshire and the Client.

 

Clients will be liable for any costs, legal or debt collection charges, bank charges or interest incurred by Made in Cheshire as a result of an unpaid invoice or payments gone astray as a result of an error by the Client or their bankers.

 

In accordance with UK law, we reserve the right to charge an automatic late payment fee, where applicable, for invoices which remain unpaid after the payment terms stated.

 

In accordance with UK law, we reserve the right to charge interest at the rate of 8% over the prevailing Bank of England base rate from the date payment became due to the date payment is received.

 

We further reserve the right, from 30 days after the due date on the invoice, to suspend operation of the website of the Client until all monies due, including the invoice amount and any late payment fees and interest, are paid in full.

 

We further reserve the right, from 60 days after the due date on the invoice to remove the website of a Client from the server.  The Client will remain liable for payment of the full outstanding balance and any late payment fees and interest.

 

Standard Hourly Rate

Our standard hourly rate is £35 an hour.

 

Changes, Revisions and Amendment to the Original Specification

Any request for changes to any works carried out by us, including, but not limited to, design work, web design and print artwork, must be made in writing, electronic communication being acceptable, for record and protection of both parties.

In the case of print artwork and logo design, changes to the design, after the project has been completed will be charged at our standard hourly rate.

In the case of web design, amendment to the original specification or additional requirements, such as new functionality or additional pages/content/copy will be charges at our standard hourly rate or our additional page rate unless agreed otherwise.

 

Terminating an Agreement

In the event of cancellation of an agreement, the Client will be liable for the cost of work carried out prior to cancellation.  The aforementioned costs will become payable within 10 days of cancellation.  Furthermore, Made in Cheshire will retain ownership of project.

Clients must give a minimum of 28 days’ notice, in writing (electronic communication acceptable) if they wish to cancel their hosting agreement with us.  Transfer to another host will incur a £50 transfer fee to cover the time and work involved.

 

Proofing and Approval

Drafts and proofs of design and artwork will be submitted to the Client for their approval prior to final artwork.  It is the customer’s liability to check for any errors and omissions and ensure the original brief has been met to their satisfaction.  We may not be held responsible for any errors or omissions not corrected and notified to us by the Client and any subsequent amendments will be charged at our standard hourly rate.

 

Any changes or additions, outside of the original specification may incur additional charges.

 

Copyright and Intellectual Property

In providing us with any artwork, graphics, media, data or photographic images the Client guarantees that such material is owned by the Client or they have permission to use them or request us to use them.

Any material, including but not limited to, artwork, graphics, media, data or photographic images must not infringe any applicable laws or contain any material which may be deemed to be offensive, defamatory, indecent or threatening or in contravention of said laws.  The Client will further indemnify us against any expenses, costs and claims resulting from our use of material supplied by you.

The copyright on images or graphics created by Made in Cheshire transfer to the Client on payment of the invoice.  We reserve the right to use such images or graphics in our own advertising, social media, website, marketing materials or any other media, in the promotion of our services.

Made in Cheshire reserve, and will exercise, the right to place a discreet link to our own website, generally in the footer of the Home Page of the Client’s site to acknowledge as the website designer, unless otherwise agreed.  This will generally be in the form of a line of text or small logo.

 

Force Majeure

Made in Cheshire accept no liability for any delay to the completion of any project as a result of any force majeure event including, but not limited to, war, acts of God, Government orders or labour disputes.

Acceptance of our Terms and Conditions will deemed confirmation that you will not hold Made in Cheshire liable for any damages that arise as a result of any force majeure act.

 

Hosting Service and Backups

We make every effort to attempt to back up your website at regular intervals to protect the data in the event of any failure of the server.  We cannot make any guarantees as to the integrity of the backups and if, despite our efforts, any backup is unsuccessful or it is not possible to recover data following server failure, Made in Cheshire may not be held liable.  We would always advise you to check whether your business insurance includes, or can be adapted to include, Electronic Data Loss.

If we are required to restore files not caused by server software or hardware issues, Made in Cheshire reserve the right to charge our hourly rate.

 

Scope and Limitations

In the case of website design all content and copy other than design and functionality based copy will be provided by the Client, unless agreed otherwise and included in our quotation.

 

Subsequent to Client and Made in Cheshire having agreed on design, layout and functionality of a website, either in the form of a mock-up or discussed and agreed in person, construction will commence and any major changes to the design or layout will be charged at our standard hourly rate.

 

All websites are tested in the three leading browsers, Internet Explorer, Firefox and Chrome, to ensure all features and content load correctly.  There may however, may be some slight visual differences across the browsers.

 

All websites are fully responsive and are tested on tablet and mobile phone devices.

 

In the case of all websites constructed on the WordPress platform, Made in Cheshire will optimise your site for SEO by the installation and setup of an SEO plugin and will submit your website URL to the Google search engine.  We make no claims as to the efficacy of these actions, have no control of the methods used by search engines to rank websites and make no guarantees as to your future placement in search results.

 

Any code created by Made in Cheshire specifically for the Client in the creation of their website or to facilitate the addition of required functionality will remain the property of us and will, in effect, be licensed to the Client for use in the contracted project.

 

In the case of sites constructed on the WordPress platform, for those customers who need to regularly upload to or amend parts of the site, for example in the case of adding to, amending or deleting products from an e-commerce site, full training will be given, either in person, if location allows, in the form of a detailed instruction document, or both.

 

In the aforementioned case, access can be limited to the relevant section of the site or plugin to avoid any damage or corruption to the core elements of the website.  Made in Cheshire cannot accept any liability for any changes made by the Client, or any third party on their behalf, to any areas they have access to.  This is similarly the case in instances where the Client requires full access to all areas of the site.  If site functionality is affected in either of these cases technical support will be offered at an hourly rate of £25 an hour.

 

Free technical support is offered by email or phone other than in cases where remedial action is required to restore the functionality of the site which has been affected by the actions of the client, as detailed above.

 

In the case of any website hosted by us the service may not be used for any unlawful purposes or for the display or publishing of any material that breaches any laws, UK or global.

 

  • The Client agrees not to use the service to send unsolicited email, or content which could otherwise be known as “spam” or operate any mailing list where signees have not been made clear they have opted in to receive email communications or where there is no clearly displayed and define opt-out process.
  • The Client further agrees not to distribute, host or display any content or material which promotes terrorism, pornography or any other activity deemed illegal under UK law, or any defamatory, indecent, unlawful or discriminatory material or opinions.
  • The Client further agrees not to upload, distribute or make available any file known to the contain a virus.

 

Should we decide any of the above conditions have been violated or not been met we reserve the right to suspend or terminate the hosting agreement.  We further reserve the right to temporarily or permanently remover content or material which we feel violates any of the above conditions.  We also reserve the right to take steps to recover any costs incurred by us as a result of said violation.

 

In the case of logo and print design work the price quoted shall include the detail of the work commissioned and revisions required to complete the original specification to the satisfaction of the client.  If the specification is taken to final draft and the requirements are then changed by the client, resulting in a change to the specification that necessitates a change to the overall shape, size, format or content of the file, additional charges may arise to cover the additional hours to bring the project to a satisfactory conclusion.

Contact and Confidentiality

Made in Cheshire will maintain the confidentiality of any personal or sensitive information, including, but not limited to, login information, personal details and financial information passed to us by the Client.

By entering into a relationship with Made in Cheshire as a client you agree that your name and email address may be added to our newsletter list.  You may ask to be removed from said list at any time by contacting us.

 

Domain Names – registration and renewal

We will assist the client with the process of the purchase of a domain name and the client will be responsible for the timely payment of renewal charges to ensure continuity of service of your website.  We will not be liable for any loss of domain name or interruption to the availability of your website resulting from the client’s late or non-payment of renewal charges.

We will require access to the login details issued to you by the domain registrar.

You will remain responsibility for the cancellation of any services no longer required.

If you require Made in Cheshire to complete registration of a domain on your behalf and take responsibility for the renewal and continuity of service of said domain there will be an annual charge of £35 which will be payable at the time the domain is registered and annually thereafter.  Made in Cheshire will invoice the Client for renewal of the domain.  We will not be responsible for any loss of service or domain resulting from the Client’s non-payment on the renewal charge.

Made in Cheshire take the security of clients’ data and personal information very seriously and take every measure in their power to ensure the client’s security is not compromised.

In the case of us providing you with a user name and password to gain access areas of a website or to proofs or services, we advise you to change them to a ‘strong’ memorable alternative.

Made in Cheshire will maintain the confidentiality of any personal or sensitive information, including, but not limited to, login information, personal details and financial information passed to us by the Client.

By entering into a relationship with Made in Cheshire as a client you agree that your name and email address may be added to our newsletter list.  You may ask to be removed from said list at any time by contacting us.
